Bylaws of the Republican Women of Henry County

Article I
Name
 
The name of this Club shall be the Republican Women of Henry County.

Article II
Objectives
 
The objectives of this Club shall be to promote an informed electorate through political education, increase the effectiveness of women in the cause of good government through active political participation, support the principles and objectives of the Republican Party and Republican nominees. The RWHC, as a Club, will not endorse an individual candidate in a contested primary. However, RWHC members, as individuals, are encouraged to become involved in individual candidates' primary campaigns.

Article III
Membership
 
  • SECTION : 1 Types of Membership.
  • A. The Active membership of this Club shall be voluntary and limited to women who support the Club's objectives.
  • B. Associate members may consist of men and those women who are active in another Georgia Federation of Republican Women's club.
  • SECTION : 2
  • A member shall be classified as an Active or Associate member at the time of admission to the Club. Male Associate members shall have no voice or vote. Women Associate members shall have no vote.
  • SECTION : 3
  • Membership of Active members shall be established by payment of dues.
  • SECTION : 4
  • An individual shall be declared a member upon payment of the required annual dues. Membership year is the calendar year. (Article VIII Dues).
  • SECTION : 5
  • Resignations of Active members shall be in writing and submitted to the Recording Secretary.
  • SECTION : 6
  • In the event this Club has to remove a member for cause, the removal shall be done by a majority vote of the Executive Committee.
  • SECTION : 7
  • The Club shall be a member of the Georgia Federation of Republican Women and the National Federation of Republican Women.
  • Article IV
    Officers
     
  • SECTION : 1
  • The officers of this club shall be President, Vice-President, Recording Secretary, Corresponding Secretary and Treasurer
  • SECTION : 2
  • The term of office for officers shall be for two years. Elected officers shall assume their duties at the close of the installation of officers following the election. Except in extenuating circumstances, resignation of an officer shall not be considered unless made in writing and presented at a regular meeting or special meeting of the Club. Upon termination of office outgoing officers shall turn over all Club records to their duly elected or appointed successors within 15 days.
  • SECTION : 3
  • The term of office for Chairmen of Standing Committees shall be for two years and terminate at the end of the calendar year.
  • SECTION : 4
  • The Executive Committee shall fill any vacancy in an office that has six months or less remaining in an unexpired term. For an unexpired term of more than six months, the Executive Committee shall fill the vacancy on an interim basis until the next regular meeting. At the next regular meeting, the vacancy shall be filled by a majority vote of the Active members who are present. Only Active members shall be eligible to be appointed or elected to fill vacancies.
  • Article V
    Duties of Officers
     
  • SECTION : 1
  • The President shall have general supervision of the work of the Club, appoint all committees except the Nominating Committee, and appoint or replace Chairmen of Standing Committees with the approval of the Executive Committee. The President shall serve as an ex-officio member of all committees except the Nominating Committee. The President shall preside at all meetings of the Club and the Executive Committee.
     
    The President may appoint a Parliamentarian. The President shall represent the organization at all times or shall designate a member of the Executive Committee to be the Club's representative should it become necessary. The President shall serve on the Board of Directors of the Georgia Federation of Republican Women.
  • SECTION : 2
  • The Vice-President shall serve as Program Chairman and, in the absence of the President, perform the duties of the President along with other such duties as may be assigned by the Executive Committee.
  • SECTION : 3
  • The Recording Secretary shall maintain and read minutes of all meetings of the Club and Executive Committee. The Recording Secretary shall provide the President with copies of minutes of all meetings and make the minutes available to the Executive Committee.
  • SECTION : 4
  • The Corresponding Secretary shall be responsible for conducting correspondence specified by the President and Executive Committee, maintaining a file of all Club correspondence, making such information available to the President and Executive Committee. In the event the Recording Secretary must be absent, the Corresponding Secretary shall serve in the Recording Secretary's place.
  • SECTION : 5
  • The Treasurer shall maintain a written record of monies received and disbursed. A full report shall be given at Executive Committee and regular meetings. The Treasurer shall deposit all funds of the Club in a bank approved by the Executive Committee and prepare checks for Committee-approved expenses for signature by the President, Vice President or other officer as determined by the Executive Committee. The Treasurer shall maintain an up-to-date roster of the Club's membership. The Treasurer shall serve as a member of the Finance Committee.
  • Article VI
    Executive Committee
     
  • SECTION : 1
  • The Executive Committee shall consist of the Elected Officers, Chairmen of the Standing Committees, and the immediate Past President. The President shall preside at Executive Committee meetings. In the absence of the President, the Vice-President shall preside.
  • SECTION : 1
  • The Executive Committee shall approve the bank or banks where funds are to be deposited, direct the disbursement of funds, and make recommendations to the President regarding pertinent Club business not covered in these Bylaws.
  • SECTION : 1
  • The Executive Committee shall meet on the call of the President or on written request of forty percent of the Executive Committee's member, with the time and place to be fixed by the President. A quorum of forty percent of the Committee members shall be required in order to transact club business between scheduled meetings.
  • Article VII
    Meetings
     
  • SECTION : 1
  • The Executive Committee shall determine the date of regular meetings of this Club.
  • SECTION : 2
  • The President, with the approval of the Executive Committee, or upon written request of ten members, shall have the authority to call Special Meetings of this Club. The purpose of a called meeting shall be stated in the notice sent to all members and no other business shall be transacted.
  • SECTION : 3
  • Meetings of the Executive Committee shall be held at the discretion of the President. A minimum of at least five meetings shall be held each year.
  • SECTION : 4
  • Special meetings of the Executive Committee may be called by the President or upon written request of forty percent of the Committee members. The purpose of the meeting shall be stated in the notice to all members of the Committee. Only the business so stated shall be transacted.
  • SECTION : 5
  • The meeting in October shall be the Annual Meeting and shall be for the purpose of electing officers (in odd years), receiving reports of officers and committees, and approving the annual budget.
  • Article VIII
    Dues
     
  • SECTION : 1
  • The Executive Committee shall set membership dues for the succeeding year no later than the Annual meeting in October. Dues shall be payable on or before January 1st.
  • SECTION : 2
  • The membership year shall be from January 1 through December 31. Dues will not be prorated nor refunded.
  • Article IX
    Nominations and Elections
     
  • SECTION : 1
  • Elections shall be held in odd numbered years
  • SECTION : 2
  • The Executive Committee, at a Committee meeting prior to the September meeting, shall elect a Nominating Committee of five members. The names of the Nominating Committee shall be announced at the September meeting. This Nominating Committee shall obtain agreement to be nominated confirmations from each nominee, and then report one nominee for each office at the Annual meeting in October. Nominations from the floor may be made at the Annual meeting of the Club. Prior approval by each nominee must be given prior to announcement of nominees.
  • SECTION : 3
  • The election of Officers shall be held at the Annual meeting and Installation of Officers shall take place at the November meeting.
  • SECTION : 4
  • An Elections Committee of not less than three members shall be appointed by the President at the meeting prior to the Annual meeting. This Committee shall provide all election materials and shall act as tellers for the election, if necessary.
  • Article X
    Committees
     
  • SECTION : 1
  • The chairmen of Standing Committees shall be appointed by the President with the approval of the Executive Committee without delay and no later than February 15. For purposes of approval, the Executive Committee shall consist of newly elected officers and Past President. Chairmen shall become members of the Executive Committee upon appointment.
  • SECTION : 2
  • Standing Committees of this Club shall be Campaign Activities, Membership, Public Relations, Bylaws, Legislative, Programs, and Fundraising.
  • Article XI
    Quorum
     
  • SECTION : 1
  • Forty percent of the Executive Committee members must be present at a regular or special called Executive Committee Meeting in order to have a quorum.
  • SECTION : 2
  • A quorum for the transaction of business at regular and special meetings of the Club shall be those present and voting, unless otherwise provided for in these Bylaws.
  • Article XII
    Parliamentary Authority
     
  • SECTION : 1
  • Robert's Rules of Order, Newly Revised, shall govern all proceedings except where inconsistent with the provisions of the Bylaws of this Club.
  • Article XIII
    Amendments
     
  • SECTION : 1
  • Members shall be notified of any proposed amendment to these Bylaws at least thirty days prior to the time the amendment is to be voted upon. If proper notification has been given, the Bylaws may be amended at a regular meeting, or a special meeting called for that purpose. A two-thirds vote of the members present and eligible to vote is required for changes to the Bylaws.
  • Article XIV
    Assets and Name Use
     
  • SECTION : 1
  • Upon dissolution of this Club, the assets shall be distributed to the Georgia Federation of Republican Women. None of the assets shall be distributed to any member or officer of this Club.
  • SECTION : 2
  • Upon dissolution of this Club, the right to the Club's name shall revert to the Georgia Federation of Republican Women.
