HENRY COUNTY
REPUBLICAN PARTY RULES
Adopted in Convention: March 24, 2007
- ARTICLE I.
- QUALIFICATIONS OF MEMBERS

All voters qualified under the laws of the State of Georgia who are in accord with the principles of the Republican Party, believe in its declaration of policies and are in sympathy with its aims and purposes, and who are residents and qualified voters of Henry County, may participate as members of the Republican Party of Henry County in its conventions and mass meetings in the appropriate jurisdictions, subject to the rules of the Republican Party of Georgia (hereinafter called State Rules) and to these county rules as hereinafter set forth.
- ARTICLE II.
- COUNTY COMMITTEE
- SECTION 1: The County Committee

There shall be a Committee officially known as the Republican Committee of Henry County, hereinafter called the County Committee. The County Committee shall, in the interim between County Conventions, be vested with all the duties, powers, and privileges possessed by the County Convention and shall act as and for the Republican Party in Henry County during such period.
- SECTION 2: Officers and Members of the County Committee
- The County Committee shall consist of the following:
- A . Officers

A County Chair who shall chair the County Committee and shall lead the committee in activities that will strengthen the Republican Party of Henry County and serve to elect qualified Republican candidates. The Chair may appoint a parliamentarian to aid in the conduct of County Committee meetings. The Chair may appoint such committees and their chairs as he deems desirable and he may dissolve such committees. Such appointments will not create additional votes or positions on the County Committee.

A First Vice-Chair who shall assist the County Chair in the duties of his office, preside at County Committee meetings in the absence of the chair, and serve as Chair of a Committee on Precinct Organization composed of five Committee members-at-large. The duties of this committee shall be to recruit, organize, mobilize and maintain precinct organizations. It is the goal of each precinct organization to actively participate in election campaigns that encompass their precinct, and during off-year elections, to assist the party organization in fundraising and addressing local county issues.

In the event a precinct committee ceases to function or ceases to fill its representative vacancies on the County Committee, the Committee on Precinct Organization may call a Precinct Committee meeting in that precinct by written notice sent by Postal Service, or by Electronic mail if requested, to all the Precinct Committee members not less than seven (7) days prior to the date of the meeting. For this meeting a quorum shall not be required and all matters, including the election of new precinct officers if deemed necessary, shall be decided by a majority vote of those present and voting. A member of the Committee on Precinct Organization shall be present at the meeting."

A Second Vice-Chair who shall assist the Chair and the First Vice-Chair in their duties, preside at County Committee meetings in their absence, and who shall serve as Volunteer Coordinator responsible for recruiting and organizing volunteers for Republican Party Committee activities within the county.

A Third Vice-Chair who shall assist the Chair, the First Vice-Chair, and the Second Vice-Chair in their duties, preside at County Committee meetings in their absence, and who shall serve as Legislative Liaison with the Georgia state legislature and government and also serve as the Legislative Liaison with city and county government. Responsibilities include reporting on legislative activity which impacts the Republican Party and the citizens of Henry County.

Secretary who shall keep minutes and records of meetings, membership lists, records of attendance, and who shall handle correspondence at the direction of the County Chair. All records shall be made available to any member of the County Committee upon request.

An Assistant Secretary who shall assist the Secretary in the
duties of that office.

A Treasurer who shall keep records of funds and expenditures and make a monthly report to the County Committee. The Treasurer shall be responsible for maintaining bank accounts and receiving and disbursing funds at the direction of the County Committee. All disbursements shall be made by check and the checks shall be signed by one of the following: the Treasurer, the Assistant Treasurer, or the County Chair.

An Assistant Treasurer who shall assist the Treasurer in the
duties of that office.

A General Counsel who shall be a licensed attorney and a member of the Georgia Bar, and who shall advise the County Committee as requested on legal matters.

A Finance Chair who shall be Chair of the Finance Committee composed of the Assistant Finance Chair, The Treasurer, The Assistant Treasurer, and the Finance Chair of each precinct. If a precinct fails to elect a Finance Chair, the Precinct Chair shall serve on the County Finance Committee. This committee shall devise plans for raising funds to finance Republican activities.
An Assistant Finance Chair who shall assist the Finance Chair in the duties of that office.

Five Committee members-at-Large who shall be members of the Committee on
Precinct Organization.

District Representative(s) elected at the County Convention who shall represent Henry County on the Congressional District Republican Committee(s). The election of and the number of such Representative(s) shall be determined by the Congressional District Rules pertaining to county representation. This position may be filled by one of the county officers or committee members-at-large without giving up their position as an officer or committee member-at- large if that be the desire of the party. In such case, election as a District Representative will not create an additional position on the County Committee.
- B . Other Members

The Immediate Past Chair of the County Committee, unless the Past Chair is elected to some other position on the County Committee.

One Representative each from the Republican Women of Henry
County, The Henry County Young Republicans, and the Henry County Black Republican Council, provided that: said organization is chartered by the corresponding state organization, a current copy of the organization's rules is kept on file with the Secretary of the County Committee, and a letter from said organization stating their election of a representative is filed with the Secretary of the County Committee.

The Republican Member of the County
Election Board unless the Election Board Member is elected to some
other position on the County Committee.

Any Elected Official in Henry County who was legally elected as a Republican Nominee.

In the event any elected official in Henry County who was legally elected to a non-partisan
office publicly declares that he is a Republican, that he believes in the
principles of the Republican Party and supports its aims and purposes, and
publicly states that if he is a candidate for partisan political office in the
future it will be as a Republican, then, and in that event, such elected
official may be elected as a member of the County Committee on a motion from the
floor by a majority vote of a quorum present in any regular or duly called
meeting of the County Committee. The position on the Committee of such elected
official will then be the same as that of officials elected as Republican
Nominees.

Additional members of the County Committee shall be elected as follows:

Two Representatives from each Precinct, elected by the precinct Mass
Meeting, or by the Precinct Committee.

Each Precinct which casts a majority of its total vote for the Republican Electors in the immediately preceding election for the President of the United States shall be entitled to the following additional representatives; of the excess number of votes from the next highest candidate each precinct shall receive one representative for the first four hundred (400) votes or any fraction thereof, and one representative for each additional two hundred (200) votes or any fraction thereafter. Such additional members shall be elected in the Precinct Mass Meeting or by the Precinct Committee.
- SECTION 3: Removal of Members as a Result of a Rules Change

In the event of a change in the County Rules which would change the allocation of County Committee members from any precinct, the Precinct Committee shall decide which of their members shall be removed from the County Committee, or who shall be added, as the case may be.
- SECTION 4: Members from Unorganized Precincts

In the event any precinct does not hold a Mass Meeting and is not represented on the County Committee, then the County Committee shall have the power to elect a member from such precinct by a majority vote of a quorum present.
- SECTION 5: Election of Officers and Committee Members

The Officers and Committee members-at-Large shall be elected in a County Convention, called for that purpose in accordance with the State Rules. The members of the County Committee representing the precincts shall be elected in the Precinct Mass Meetings or by the Precinct Committees except as otherwise provided in these rules.
- SECTION 6: Meetings

The County Committee shall hold regular meetings at the County Administration Building at 7:30 p. m. on the first Tuesday in each month, except in the month of December when no regular meeting shall be held. Should a regular meeting date fall on the same day as a General Election, General Election Run Off, Primary Election, or Primary Election Run Off, the regular monthly meeting shall be held on the following Tuesday at the above stated time and place.

The County Chair or the Secretary shall, for all regular meetings, send by
Postal Service or by Electronic mail if requested, a notice to all members of
the County Committee not less than ten days before the date of the regular
meeting. However, failure to send a notice of a regular meeting shall not
cancel the meeting. All regular meeting notices shall contain the following
statement: "All members are reminded that if any member is absent from four (4)
consecutive regular meetings the member shall be removed from the County
Committee in accordance with Article II., Section 7, of the County Rules."

The secretary shall include a copy of the minutes of the previous meeting with the sent meeting notice or make a printed copy of the minutes of the previous meeting available to each member at the beginning of the meeting. If printed copies of the previous minutes are not made available in this way, then the minutes of the previous meeting shall be read in the meeting.

Special meetings may be called; by Postal Service or Electronic mail if requested, to all members not less than 10 days prior to date of special meeting. The County Chair may call special meetings at his discretion. Other members of the County Committee may call special meetings, provided the meeting notice bears the signatures of thirty percent (30%) of the members of the County Committee.
- SECTION 7: Removal of Officers and Committee Members

If any officer or member of the County Committee is absent from four (4) consecutive regular meetings, then their position shall be declared vacated. A vacated position shall be filled at the next regular meeting of the County Committee subject to Section 8 of this Article.

Any member who is removed because of violation of this attendance rule, may not be put back on the County Committee to fill the vacancy unless that member is present at the County Committee meeting in which they are put back on. If such member is absent from that meeting then the position shall still be considered vacant. Any person who is a member of the County Committee by reason of being an elected official shall be exempt from the above attendance rule.
- SECTION 8: Vacancies

In the event a vacancy occurs in the County Committee because of death, resignation, removal from office, or other reason, the County Committee shall fill such vacancy, for those positions normally filled by election in a County Convention, in a regular or duly called meeting. If the vacancy occurs in a position filled by election from a Precinct, The Chair of the Precinct shall be notified of such vacancy by the Secretary of the County Committee. If the representative position being vacated was filled by the precinct Chair then the notice of vacancy shall be sent to another precinct officer or committee member. The Precinct shall fill the vacancy within thirty (30) days of the receipt of such notice, but, if it fails to do so, the County Committee may fill such vacancy by a majority vote on a nomination from the floor.
- SECTION 9: Quorum

If the County Committee consists of less than twenty (20) members, a majority shall be required as a quorum for the transaction of business in a regular or duly called meeting. If there are Twenty (20) or more members of the County Committee, then thirty (30) percent or ten (10) members, whichever is the greater, shall constitute a quorum.

Elected Official positions on the County Committee shall not be counted in determining a quorum. The presence or absence of a member who is on the committee by virtue of being an elected official shall not count for or against a quorum.
- SECTION 10: Executive Committee

The County Committee shall have the power, if it so determines, to elect an Executive Committee which shall have such authority and term of office as the county committee may determine at the time the Executive Committee is elected. The Executive Committee shall consist of the Officers of the Henry County Committee listed in Article II, Section 2-A of these rules. Twenty five percent (25%) of the members of the Executive Committee or five (5) members, whichever is greater, shall be required as a quorum for the transaction of business in a duly called meeting of the Executive Committee. Notification of called meetings of the Executive Committee shall be given at least three (3) Business days in advance by telephone or electronic mail. All actions of the Executive Committee shall be reported at the next monthly meeting of the County Committee. The Executive committee shall not have the authority to amend the county rules in any way, nor to elect officers or members to the County Committee.
- SECTION 11: Members Holding Two Positions

No person may hold two (2) positions on the County Committee. If a person holding a position on the County Committee by reason of election from a precinct should be elected as an officer or committee member-at-large on the County Committee, his position representing his precinct on the County Committee shall be declared vacant and may be filled as specified in Section 8 of this Article. This procedure shall not affect his office or position on the Precinct Committee.
- ARTICLE III.
- COUNTY CONVENTIONS
- SECTION 1: Call

Upon a call from the State Committee and in accordance with State Rules, the County Chair shall call a County Convention for the purpose of conducting the business appropriate for that call, either electing officers and committee members-at-large for the County Committee and delegates to the District and State conventions where District and State officers will be elected, or electing delegates to District and State Conventions where State delegates to the National Presidential Convention shall be elected. The County Convention shall conduct any appropriate business that may come before it. All County Convention action shall be determined by a majority vote of the delegates present and voting.

The secretary of the County Convention shall send by Postal Service, or by Electronic mail if requested, a copy of the minutes of the convention to each County Committee member prior to the next County Committee meeting or shall make a printed copy of the minutes available to each member at the meeting.
- SECTION 2:Delegates

The County Convention shall be composed of delegates from precincts allocated according to State Rules. An alternate shall be elected for every delegate. Delegates and Alternates shall not be paired. The delegates themselves shall, by caucus and by majority vote, decide which of the alternate delegates present shall take the place of any delegates absent from the convention.
- SECTION 3:Registration Fees

There shall be a ten dollar ($10.00) registration fee for each delegate and
alternate to the County Convention.
- ARTICLE IV.
- ELECTION DISTRICTS (PRECINCTS)
- SECTION 1: Mass Meetings

The County Chair shall, according to the rules of the Republican Party of Georgia and upon a call from the State Committee, call a mass meeting of the Republican Party in each Precinct to elect a Precinct Committee, Committee members on the County Committee, delegates and alternates to the County Convention, and to conduct any business that shall come before it according to the County and State Rules. Each Precinct Chair or temporary Chair shall be notified by the County Chair as to the number of delegates and alternates to be sent to the County Convention.
- SECTION 2: The Precinct Committee

The Precinct Committee shall consist of:
- A Precinct Chair.
- One or more Vice-Chair(s).
- A Secretary.
- A Treasurer.
- A Finance Chair.
- Any resident of the precinct who is a member of the County Committee.
- Any other officers or members as may be determined by the Precinct Mass Meeting.

The Precinct Committee shall act as and for the Republican Party in the precinct in conjunction and cooperation with the County Committee.

In order to call a Precinct Committee meeting, the Precinct Chair shall cause each Precinct Committee member to receive advance notice of such meeting at least seventy-two (72) hours prior to the meeting. Other members of the Precinct Committee may call a Precinct Committee meeting provided a meeting notice bearing the signatures of at least two (2) committee members is sent by Postal Service, or by Electronic mail if requested, to all members not less than seven (7) days prior to the date of the meeting.

Should the Precinct Chair, or any member of the Precinct Committee who is a member of the County Committee, resign or be removed for any cause from the County Committee, his position on the Precinct Committee shall be decided only in the Precinct Mass Meeting or by the Precinct Committee.
- ARTICLE V.
- SECTION 1: Support of Candidates

The Henry County Republican Party shall not endorse or support any candidate in a contested primary election. This shall not prevent any individual member of the County Committee from endorsing or supporting a candidate in a contested primary.
- SECTION 2: Support of Opposing Party

Any member of the County Committee who publicly endorses or supports a candidate of an opposition party against a candidate of the Republican Party shall be removed from the County Committee. Whether such public endorsement or support occurred shall be determined by a three-fourths (3/4) vote of the County Committee in a regular or duly called meeting. Such member shall be given written notice, sent by Postal Service, or by Electronic mail if requested, at least ten (10) days prior to the meeting, that this question will be brought for a vote at the meeting. If it is determined by this vote that such public endorsement or support occurred, then the member is immediately removed from the County Committee, and is not eligible to serve on the County Committee again until properly elected at a future convention or elected to public office as a Republican Nominee in a future election. The vacancy shall be filled as provided in Article II., Section 8.
- SECTION 3: Pledge to County Rules

Each member of the County Committee and qualified candidates running for public office as a Republican shall be required to pledge that they have read and do fully understand and will abide by the Rules of the Henry County Republican Party.
- ARTICLE VI.
- PARLIAMENTARY RULES

The parliamentary rules for all meetings and conventions shall be the current edition of Robert's
Rules of Order, Newly Revised, except where such
parliamentary rules may conflict with the County Rules or any special rules of
order the county party may adopt.
- ARTICLE VII.
- AMENDMENTS

These rules may be amended by any County Convention of the Republican Party of Henry County by a majority vote of the convention in session or by the County Committee with a three-fourths (3/4) vote of a quorum present. In the case of changes to be proposed to the County Committee, all members of the County Committee shall be sent by Postal Service, or by Electronic mail if requested, a copy of such proposed amendments with the meeting notice, but at least ten (10) days before such meeting.
- ARTICLE VIII.
- SUBJECT TO STATE RULES

These rules are supplementary to the State Rules and subject to them. Any part of these rules found by the State Committee to be in conflict with the State Rules or found to be in conflict with the laws of the State of Georgia shall be deemed void and invalid. If, however, any part of these rules should be found to be in conflict, such conflict shall not affect the validity of the remainder of these rules.
